Role

To ensure that the recruiting company complies with standard financial and legal practice and maintains standards of corporate governance, the candidate must have a thorough understanding of the laws that affect their areas of work. The candidate will act as a point of communication between the board of directors and company shareholders, reporting in a timely and accurate manner on company procedures and developments. You will also perform a wide range of duties for the General Manager and/or Partners and supervisors to facilitate the efficient operation of the organization.



Job Description




  • Assisting in delivering excellent company secretarial services

  • Drafting Resolutions, Minutes of Board Meeting, General Meetings, Notice and other normal Company Secretarial Documents

  • Maintaining statutory books, including registers of members, directors and secretaries;

  • Preparation and filing of Annual Filing Documents and Forms

  • Preparing written responses to routine enquiries and other requests under supervision; and

  • Preparing and modifying documents including correspondence, reports, drafts, memos and emails under supervision

  • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action

  • Liaising with external regulators and advisers, such as lawyers and auditors

  • Developing and overseeing the systems that ensure the company complies with all applicable Acts and its legal and statutory requirements

  • Ensuring the compliance of all TSL clients with applicable corporate legislation and regulations;

  • Basic knowledge of Listed and Public Limited Companies

  • All secretarial works such as the issue of shares, increase in Authorised shares, Transfer of shares, etc.

Required Skills or Experience



  • Proven working experience in company secretarial or compliance role

  • Must have attained a considerable level of proficiency in company law

  • Exceptional writing and editing skills

  • Knowledge & appreciation of Companies Act, 2019 (Act 992)



Experience




  • A minimum of 4-5 years of experience in similar roles.



Educational Qualification




  • At least a Bachelor’s degree in a related field. A degree in law is preferred/a qualified lawyer

  • A certified Company Secretary or must be pursuing Company Secretary Course
