The position is a permanent role and is based in our Head Office- Accra.



What will your role be?

Reporting to the Head, Legal, Compliance, and Board Secretary, the Senior Legal Officer is responsible for assisting in contract management and review, recovery and collateral management, litigation, and case management.



MAIN RESPONSIBILITIES

COMPANY SECRETARY



  • Assist the HOD in organizing AGM, Board, and Board sub-committee meetings.

  • Take minutes, draft resolutions, circulate, and follow up on action points.

  • Update and advise Shareholders, Board, and Management on Laws, directives, regulations,

  • and best practices.

  • Circulate and distribute documents and notices about the Board meetings.

  • Review and upload board documents on the Dilitrust Board Portal and send notifications to

  • directors.

  • Assisting the HOD with all corporate governance requirements about the role of a Company

  • Secretary.

  • Ensure that all statutory forms, returns, and documents are duly filed with the Registrar

  • General and other regulatory bodies.

  • Keep the board abreast of all relevant legislative, corporate governance, and risk

  • management developments.

  • Ensure that the board's constitution and policies are all in place and implemented.

  • Any other responsibility or role assigned by the HOD from time to time.



CONTRACT MANAGEMENT AND REVIEW



  • Advise Management on legal issues and ensure that the rights of the clients are protected.

  • Conduct and coordinate research into a variety of legal issues.

  • Review credit appraisal documents of customers.

  • Perfecting of legal documentation.

  • Review and draft contracts, agreements, and internal policies and ensure that they comply

  • with all statutory or legal requirements.



RECOVERY AND COLLATERAL MANAGEMENT



  • Provide legal counsel to recover outstanding debts from defaulting Customers.

  • Ensure the recovery procedures are applied by the Recovery unit and the branch network.

  • Check the defaulting client’s files that come in for completeness and take actions to improve

  • their quality if needed (missing or unsigned documents)

  • Ensure an effective recovery setup for the operations of the company.

  • Occasional field visits to defaulting clients and prospects.

  • Manage the Relationship with valuers and auctioneers and ensure Advans Ghana obtains the returns it deserves.

  • Take concerted decisions with the Head of Recovery on which clients and guarantor’s assets to seize - decisions based on different criteria (passing of Event of Default deadline, payment history, respect or breach of contract)



LITIGATION AND CASE MANAGEMENT



  • Representing the Company in court/police stations on cases initiated by clients or service providers.

  • Develop comprehensive reports for external lawyers should we have to go to court.

  • Initiating court proceedings against Clients.

  • Conduct meetings with defaulting clients and their lawyers.

  • Review the progress of outstanding litigation.



GENERIC ACTIVITIES



  • Monitor changes in relevant legislation, newly published Laws, acts, and the regulatory environment and ascertain how these affect the institution’s business.

  • Develop and recommend operating policy and procedural improvements.

  • Ensure compliance with statutory and regulatory requirements.

  • Represent the company before statutory bodies when the need arises.

  • Participate in relevant committee meetings such as disciplinary, credit, arrears review, etc.

  • Prepare and submit relevant documents on Board nominations and other appointments to BOG for approval.

  • Advise departments on projects or activities that require the Bank of Ghana's prior approval.

  • Follow up on pending approvals with the Bank of Ghana.

  • Meeting with defaulters

  • Manage and reduce legal risks.

  • Advising on legal issues.



CHALLENGES



  • Challenges with Court Bailiffs/Officers

  • Challenges with securing Bank of Ghana approvals

  • Challenges with Government Departments

  • Challenges with Branches/Departments




Required Skills or Experience



  • A first degree in Law and a Professional Law certificate

  • A master’s degree in law will be an added advantage.

  • At least six (6) years post-call experience preferably in a financial institution.

  • A minimum of three (3) year
